Terms of use

Effective date: October 26, 2026

1. Provider

The software, the website https://songkara.com and related services (together, the “Service”) are provided by SongKara (“we”, “us”). Contact: the Account page at https://songkara.com.

2. Definitions

• Software: the SongKara application for Windows, including updates.
• Account: an account identified by a phone number or email address, accessed with one-time codes (OTP).
• Plan: the Free plan or a paid plan (Pro, Studio…) with the benefits published on the pricing page at the time of purchase.
• AI credits: units used by the cloud AI assistant features.
• User content: songs, lyrics, recordings, images, videos and any other files you load into or create with the Software.

3. Your account

1. Provide a phone number or email you are entitled to use, and keep your codes and signed-in devices secure. Activity on your account is treated as yours unless you have told us the account was compromised.
2. Each account is for one person or organisation. Accounts may not be sold, rented or shared.
3. If you are under 16, you need consent from a parent or guardian before registering or purchasing.

4. Licence

1. We grant you a non-exclusive, non-transferable, revocable licence to install and use the Software for lawful purposes within the scope of your Plan.
2. Device limit: each account may have up to the number of computers allowed by its Plan activated at the same time (currently Free: 1, Pro: 2, Studio: 5). You can remove old computers yourself on the Account page.
3. Term: yearly plans last until the expiry date shown in your account and do not renew or charge automatically. “Lifetime” plans remain valid for as long as we offer the Software, for the current major version and updates in the same product line.
4. Offline use: the Software verifies your licence when online and keeps full Plan features for up to 7 days without a connection; after that it falls back to the Free plan until it reconnects. Your projects and files are never locked.
5. When a paid plan expires your account returns to the Free plan; you can still open your existing projects.

5. Free plan and watermark

The Free plan is provided at no charge with limited features. Videos, recordings and live streams made on the Free plan carry a SongKara watermark. You must not cover, crop, blur or otherwise remove it. We may change Free plan limits at any time.

6. Prices and payment

1. Prices are listed in Vietnamese dong on the pricing and account pages. Prices may change; changes do not affect orders already created or paid.
2. Payment is by bank transfer using a VietQR code. Transfer the exact amount with the exact order code as the transfer note; the system confirms automatically and activates your Plan or credits. If you used the wrong note or amount, contact support with your receipt.
3. We never collect or store your card details or banking passwords.
4. Refunds follow our Refund policy.

7. AI features and third-party providers

1. On-device AI (vocal separation, lyric sync, music analysis…) runs on your computer; your music, video and recordings are not uploaded to our servers.
2. Cloud AI assistant (lyric fixing, line splitting, arrangement suggestions…): the text you submit (e.g. lyrics) is sent to a third-party AI model provider for processing. Each use deducts credits as shown in the app; no credits are deducted when the system fails.
3. AI output may be inaccurate or unsuitable; review it before use. We may apply reasonable daily limits to prevent abuse and may change AI providers.
4. AI credits have no cash value and cannot be transferred to another account. Monthly plan credits do not roll over if not claimed.

8. User content and music copyright

1. You keep all rights to your user content. We do not store your music, videos or recordings.
2. The Software is a tool and does not grant you any rights to other people’s works. Copyright and related rights in songs, lyrics and recordings belong to their songwriters, performers, record producers or collecting societies.
3. You are solely responsible for having the necessary rights (your own work, a licence, or a use permitted by law) before you copy, distribute, publish or stream anything created with the Software, and for following the copyright policies of YouTube, Facebook, TikTok and other platforms.
4. Backing tracks generated by the Software follow the melody and chords of the original song; this does not remove the original song’s copyright.
5. You agree to compensate us for reasonable losses and costs arising from third-party claims caused by your infringement of intellectual property rights while using the Service.

9. Prohibited use

• Cracking, reverse-engineering or modifying the Software; bypassing licensing, device limits or the watermark.
• Reselling, renting or sharing accounts or activations; using someone else’s account.
• Creating or publishing content that violates Vietnamese law (including the Cybersecurity Law) or infringes intellectual property, reputation or privacy rights.
• Automated or abnormal requests, exploiting bugs, attacking or disrupting the Service; using the AI assistant for purposes unrelated to karaoke.
• Payment fraud or affiliate fraud (self-referrals, fake accounts…).

10. Live streaming and third-party services

Live streaming connects to YouTube, Facebook, TikTok or OBS, which are third-party services. Stream keys are stored on your computer. You must follow those platforms’ terms; we are not responsible if a platform restricts or removes your content or channel.

11. Updates and changes

We may release updates to fix bugs, improve security or change features. For an active paid plan we will not remove core benefits published at the time of purchase without a reasonable alternative or a pro-rata refund.

12. Suspension and termination

1. You may stop using the Service at any time and request account deletion under our Privacy policy.
2. We may suspend or terminate an account that breaches these Terms or when required by a competent authority, after notifying you (unless urgent or prohibited by law). Payments are not refunded when an account is terminated for a breach.
3. If we discontinue the Service through no fault of yours, we will give at least 30 days’ notice and refund the unused portion of yearly plans.

13. Our intellectual property

The Software, source code, interface, templates, style library, the SongKara trademark and documentation belong to us or our licensors. These Terms do not transfer any ownership to you beyond the licence in section 4.

14. Limitation of liability

1. The Service is provided “as is”. We make reasonable efforts to keep the Software stable but do not guarantee it is error-free or suitable for every computer.
2. To the extent permitted by law, we are not liable for indirect damages, data loss due to lack of backups, lost revenue, or damage resulting from content you publish.
3. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
4. Nothing here excludes or limits consumer rights that cannot be excluded under Vietnam’s Law on Consumer Rights Protection and other applicable law.

15. Affiliate program

The affiliate (referral) program has its own rules shown on the affiliate page. Commissions on refunded orders are reversed.

16. Governing law and disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam. Disputes will first be resolved through negotiation and mediation; failing that, either party may bring the matter before a competent People’s Court in Vietnam. You may also file complaints with the consumer protection authority.

17. Changes to these Terms

We may update these Terms; the new version is posted here with its effective date. For material changes we will notify you in the Software or by email/phone at least 7 days in advance. Continuing to use the Service after the effective date means you accept the new version.
